Licence terms
Version 1.0 · Effective: 2 November 2026
1. About these terms
1.1 These Licence Terms (the “Terms”) are a contract between Native Flow, LLC, a Wyoming (USA) limited liability company doing business as Native Teams Agency (“NTA”, “we”, “us”), and the company, media outlet or other organisation that holds an approved NTA media account (the “Licensee”, “you”).
1.2 Organisations only. NTA accounts are available only to organisations, such as media outlets, broadcasters, publishers and production companies, and to other professional media buyers acting in a business capacity. Accounts are not available to consumers or to individuals acting for personal purposes.
1.3 The person who signs up does so on behalf of their organisation and confirms that they are authorised to act for it and to accept these Terms for it. By ticking the acceptance box at sign-up or at a later login, or by downloading or receiving any Clip, you accept these Terms on behalf of your organisation.
1.4 NTA may refuse a sign-up, or suspend or close an account, if it does not meet clauses 1.2 and 1.3, or if NTA cannot reasonably confirm the organisation or the person’s authority to act for it.
1.5 NTA also works under other agreements, including distribution, syndication or resale partner agreements (for example with other video agencies), feed or package agreements, and commercial licences. Such agreements may permit resale, sublicensing, distribution to third parties, and commercial or advertising use. Where one differs from these Terms, it takes priority.
2. Definitions
• Clip — a video, its thumbnail or still images, and the accompanying text, made available by NTA.
• Story page — the page on nativeteamsagency.com for a Clip, and the same information supplied in a feed or a delivery text file.
• Credit and Restrictions — the credit line and any restrictions shown for a Clip on its Story page.
• Download — every time a clean Clip is obtained from NTA, whether through the website, a client feed or an SFTP/FTP delivery.
• Your Platforms — TV channels, websites, apps, newsletters and social media accounts owned or controlled by your organisation.
• Editorial Use — use in news, current affairs, documentary and other editorial content, including promotion of that specific editorial item.
• Partner — an organisation (such as another video agency or distributor) that NTA has agreed may distribute or sublicense Clips to its own clients.
3. Licence granted
3.1 For each Clip you Download, NTA grants you a non-exclusive, worldwide, non-transferable licence, without the right to sublicense, to reproduce, edit (within clause 6), broadcast, publish, stream and make available the Clip for Editorial Use on Your Platforms.
3.2 The licence starts at Download and has no fixed end date, unless it ends under clause 9 (withdrawals) or clause 13 (termination). Content already broadcast or published while the licence was valid may stay in your archive, subject to clause 9.
3.3 Watermarked previews on the website and public feed are for evaluation only and may not be published or broadcast.
3.4 All rights not expressly granted stay with NTA and the filmer or rights holder. NTA licenses Clips from the people who filmed them; you receive a licence, not ownership.
3.5 The limits in clause 3.1 (non-transferable, no right to sublicense, Editorial Use on Your Platforms only) apply to standard accounts. A Partner’s rights to distribute or sublicense Clips, and any commercial licence, are set out in its agreement with NTA under clause 1.5.
4. Credit and restrictions
4.1 You must credit every Clip exactly as shown on its Story page, for example “U.S. Coast Guard / NTA”: on screen for video use, and in the caption or post text for online and social media use.
4.2 You must follow every Restriction shown with the Clip, for example “Must on-screen courtesy” or “Mandatory credit in text”.
4.3 Clips marked “Graphic / Sensitive” must carry a viewer warning where your platform supports one, and you are responsible for deciding whether such material is suitable for your audience.
5. What you may not do
The following limits are the default for standard editorial accounts. NTA also offers distribution and resale partnerships and commercial (including advertising) licences by agreement under clause 1.5; ask about either at video@nativeteamsagency.com. Unless otherwise agreed with NTA, you may not:
• resell, sublicense, give away, or share Clips, download links or feed links with anyone outside your organisation (including other companies in your group), unless a Partner or other agreement under clause 1.5 allows it;
• use Clips in advertising, sponsorship, product endorsement, political advertising, merchandise or any other commercial (non-editorial) use, unless a commercial licence under clause 1.5 allows it;
• add Clips to a stock library, archive service, video network or any product for resale;
• register or claim a Clip in YouTube Content ID, Facebook Rights Manager or any similar rights-management system, or issue claims or takedowns against NTA, the filmer or other licensees;
• use Clips, or their text, to train, fine-tune or test artificial intelligence or machine-learning systems, or include them in datasets;
• remove or hide the Credit or watermark, or present the footage as your own;
• use automated tools to bulk-download, scrape or crawl the site, or try to get around download limits or access controls.
6. Editing and context
Normal editing for length, format, subtitles, captions and graphics is allowed. You may not edit a Clip, combine it with other material or place it in a context that changes its meaning, misleads viewers, or is defamatory of anyone shown in it.
7. Fees, invoicing and payment
7.1 Fees are those agreed with NTA for your account: per clip, monthly package, a client agreement or a free trial. Every Download is logged with the company, Clip, time, IP address, deal type and channel. The log is the basis for invoicing and is accepted as accurate unless shown to be wrong.
7.2 NTA invoices monthly from the download log for the previous month. Invoices are in US dollars (USD) and are payable within 30 days of the invoice date. Fees exclude taxes and bank charges, which are paid by you.
7.3 Questions about an invoice must be raised within 14 days of receiving it, at finance@nativeteamsagency.com. NTA may suspend Downloads while an invoice is overdue.
7.4 Clips downloaded under a free trial are licensed on these Terms without a fee for the trial period and scope NTA confirmed to you.
8. Your account
8.1 NTA decides whether to approve an account, in line with clause 1. Every sign-up is reviewed and approved by NTA staff before access is granted; no account is approved automatically. NTA may ask for information to confirm the organisation and your role in it.
8.2 Each login is for one named person. Keep your password and any two-factor authentication secure, keep feed and download links confidential, and tell us at once if you think your account has been misused. Your organisation is responsible for everything done through its accounts.
8.3 Accounts have download limits per hour and per day. NTA may change these limits on request or to protect the service.
9. Withdrawals (“kills”)
9.1 NTA may withdraw a Clip at any time, for example after a takedown request, a rights or privacy concern, or a factual problem. NTA sends a withdrawal notice by email to your account or client contacts.
9.2 After a withdrawal notice you must stop any further use of the Clip and, as soon as reasonably possible (we ask for within 48 hours), remove it from Your Platforms where you control it. You do not have to recall broadcasts already aired. NTA does not charge for a Clip withdrawn before you used it.
9.3 Withdrawal notices also bind Partners. A Partner must stop distributing the Clip and pass the withdrawal notice on promptly to every client it supplied the Clip to.
10. Warranties and user-generated content
10.1 Clips are filmed by members of the public and licensed to NTA by the filmer or rights holder. NTA warrants that it has obtained a licence from the filmer or rights holder that allows it to grant you the rights in these Terms, and that it takes reasonable steps to check the source, date and location of each Clip.
10.2 Because Clips record real events filmed by third parties, NTA does not warrant that the events, people, places or descriptions shown are accurate or complete beyond the information on the Story page, and does not warrant that people shown in a Clip consented to being filmed. Clips are otherwise provided “as is”.
10.3 You are responsible for your editorial decisions, including verification you consider necessary, captions and context, blurring of faces, minors or victims, viewer warnings, and compliance with the laws and broadcasting codes that apply to you (including privacy, defamation and reporting restrictions).
10.4 You warrant that you will use Clips only as these Terms allow.
11. Indemnities
11.1 NTA will defend you against, and pay damages finally awarded or agreed in settlement of, any third-party claim that a Clip, used strictly in line with these Terms and the Story page, infringes that party’s copyright, provided you tell NTA promptly in writing, let NTA control the defence and settlement, and give reasonable help.
11.2 You will defend and indemnify NTA against any third-party claim arising from your use of a Clip outside these Terms, your edits, captions, context or combination with other material, or your breach of these Terms.
12. Limitation of liability
12.1 Neither party is liable for loss of profit, revenue, business or goodwill, or for indirect or consequential loss.
12.2 NTA’s total liability for any Clip is limited to the fees paid for that Clip, and its total liability under these Terms in any 12 months is limited to the fees you paid in that period.
12.3 These limits do not apply to fraud, wilful misconduct, your payment obligations, your breach of clause 5, or any liability that cannot be limited by law.
13. Suspension and termination
13.1 You may close your account at any time by email to video@nativeteamsagency.com. NTA may close an account with 30 days’ notice, or suspend or close it immediately if you break these Terms, do not pay, share access, or exceed download limits.
13.2 When an account closes, licences for Clips already Downloaded and paid for continue, unless the account was closed for breach involving those Clips. Licences that a Partner validly granted to its own clients continue as its agreement with NTA provides. Unpaid fees become due at once. Clauses 3.4, 5, 7, 9, 10–12, 14 and 16 continue to apply.
14. Privacy
NTA processes personal data about your users as described in its Privacy Policy. You will handle personal data of people shown in Clips in line with the data protection and media laws that apply to you.
15. Changes to these Terms
NTA may update these Terms. The version you accepted applies to Downloads made while it was current. You will be asked to accept a new version at your next login before you can download again.
16. Governing law and disputes
These Terms and any dispute about them are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-law rules. The state and federal courts located in Wyoming have exclusive jurisdiction, except that NTA may bring a claim for unpaid fees or to protect its rights in the courts where you are based. The UN Convention on Contracts for the International Sale of Goods does not apply.
17. General
These Terms, the Story page information and any other agreement with NTA under clause 1.5 are the whole agreement about Clips. You may not transfer these Terms without NTA’s written consent. If any part is found invalid, the rest stays in force. Not enforcing a right is not a waiver. Neither party is liable for delays caused by events beyond its reasonable control. Notices may be sent by email to your account email and to video@nativeteamsagency.com. These Terms are written in English, and the English version prevails.
